Austin’s practice focuses on mergers and acquisitions, entity formation and governance, capital raising, partnerships, joint ventures, strategic alliances and other general business matters.
Austin advises clients through every stage of their business lifecycle—ranging from formation and restructuring to financing, joint ventures, and exit events. He guides public and private company buyers and sellers in M&A transactions, including asset sales, equity and stock sales, and mergers, and helps strategically align businesses for capitalization and growth. Austin also supports close‑held and family‑owned companies with governance, compliance, and general business counseling—echoing the practical, full‑spectrum approach seen in the firm’s corporate practice.
Prior to joining Elder Bray & Bankler, Austin held legal roles at Carrols Restaurant Group, the Alamo Colleges District Office of Legal Services, and Rosenblatt Law Firm. Before practicing law, he spent over 15 years in leadership and instructional roles across K–12 and higher education systems, including Baltimore City Public Schools, Johns Hopkins University’s School of Education, and the Alamo Colleges District.

- Assisted with corporate governance, ESG matters, and commercial lease agreements at Carrols Restaurant Group, Inc. (formerly, NASDAQ: TAST).
- Negotiated and drafted complex commercial agreements and advised on institutional compliance issues for a Texas higher-education system.
- Conducted legal research and drafted memoranda on regulatory compliance, employment law, and risk mitigation strategies for a public-sector legal department.
- Reviewed and revised vendor, software, and facilities contracts to ensure legal sufficiency and alignment with institutional policies.
- Assisted with the preparation of documents for asset sales and advised on corporate restructuring matters for closely held entities.
- Drafted custom estate plans to include attested, self-proven, and holographic wills, complex trusts, durable and medical powers of attorney, declarations of guardianship for children, and advanced directives to physicians.
