Acquisition of Assets from a Financially-Distressed National Retailer of Computer Equipment and Software

Representation of a large publicly-traded international telecommunications company in its acquisition from a financially distressed national retailer of computer equipment and software of certain assets used in its computer services division. Worked closely with company counsel to evaluate insolvency risk and structure the transaction to reduce the risk to our client.

Acquisition of Assets out of Bankruptcy Estate

Representation of a Singapore-based aviation maintenance company, in the initial bid proposal, negotiation through auction and closing of its acquisition of assets and other leasehold interests out of a bankruptcy estate. We also guided our client through the complex regulatory and national-security related requirements.

Disposition of Debtor’s Assets

Representation of the owner of a diverse network of online travel and leisure services in connection with the administration of its bankruptcy case, the negotiation of post petition debtor in possession financing and creditor/vendor issues, and the marketing and eventual sale of the company at auction.
